GENERAL TERMS OF USE

1. General

NUABEE is a SAS (simplified joint-stock company) with its registered office located at 65, rue Hénon, 69004 LYON – FRANCE, and is registered in the Lyon trade and companies register under number 807 815 501 (VAT number: FR67 807 815 501).

The website nuabee.com is hosted by Orange Business. Its customer service can be reached by email at contact at nuabee.fr for all countries from which the site is accessible.

NUABEE SAS (hereinafter referred to as “NUABEE”) publishes and operates the website nuabee.fr (hereinafter referred to as the “Site”). By accessing, browsing the Site or the services offered through the Site (hereinafter referred to as the “Services”) and using them, the user of the Site (hereinafter referred to as “You” or the “User”) agrees to be bound by the Site’s general terms of use (hereinafter referred to as the “GTU”) in their entirety. Please refrain from using the Site, the Services, or accessing them if you do not unreservedly accept these GTU. The version of the GTU that applies to you is the one that is online at the time you use the Site or its Services. These GTU may be modified at any time by NUABEE, without notice. You agree to regularly consult the GTU to keep yourself informed of their latest changes.

2. Use of the Site and Services

You agree not to exchange, modify, copy, reproduce, publish, display, transmit, distribute, screen display, perform, transfer or sell the displays, messages, texts, files, images, photos, videos, sounds, or any other element of the site (hereinafter collectively referred to as the “Content”) from the Site, including any text, image, audio, or video excerpt, for any purpose. You agree not to impair or attempt to impair the proper functioning of the Site or Services, in any way whatsoever.

Within the limits of these GTU, NUABEE grants you a global, non-exclusive, non-transferable, non-assignable, and limited license for the purposes of accessing, displaying, and using the Site. You agree not to download, display, or transmit, through the Site or the Services, any element that:

• Restricts or interrupts another individual’s access to the Site and/or its Services;
• Is fraudulent, illegal, harmful, threatening, abusive, delinquent, defamatory, obscene, inciting hatred, constituting harassment, or infringing on someone else’s privacy;
• Constitutes or encourages conduct that could lead to criminal consequences, give rise to civil liability claims, or violate the provisions of the law;
• Violates or infringes on the rights of another party, including, a patent, trademark, trade secret, copyright, other exclusive rights, or an attribute of personality rights;
• Contains a virus, malware, software for listing the Site’s Content, a data mining process, an automatic data collection device, an automatic extraction tool, or any other harmful component;
• Constitutes unsolicited or unauthorized promotional or advertising content such as spam, email chains, pyramid schemes, or any other form of unauthorized solicitation;

However, a limited exception is granted to general internet search engines that use tools to collect information for the sole purpose of displaying hyperlinks to the Site, provided that each does so from a fixed IP address or a range of IP addresses using an easily identifiable agent.

3. Services

3.1. General Services

The Site aims to present and sell NUABEE products. The sale of products is governed by the GTU as well as by the General Terms and Conditions of Sale of NUABEE (hereinafter referred to as “GTC”). Please note that while the Site is accessible worldwide, the purchase of products presented on the Site is reserved for customers residing in the territories specified in the GTC, which you will need to read before placing any order on the Site.

NUABEE reserves the right, temporarily or permanently and at its sole discretion, to introduce new Services such as newsletters, emails, instant messaging, blogs, discussion forums, or other Services on the Site.

3.2. Chat Service

NUABEE may add a “chat” service to better answer Your questions (hereinafter referred to as the “Chat Service”). Any user who accesses the Chat Service agrees to comply with these GTU but also not to post any content (this list is not exhaustive) of a violent, pornographic, racist, anti-Semitic, and/or xenophobic nature, infringing on intellectual property rights, privacy rights, and/or confidentiality agreements.

NUABEE gives you the possibility to have personalized help by allowing its Chat Service or its customer service to take control of your account. NUABEE may make a request to this effect on the Chat function, and you can respond that you accept it. Your consent will be recorded, and the manipulation of your account concerns only the Site, and in no way your computer or another Internet site.

When you use the Chat Service, you agree that all your messages be recorded, in particular for quality control purposes, and that if, for example, some of your messages seem insulting, NUABEE reserves the right to block your access to the Chat Service.

You authorize the publication of the content of your messages and hereby grant NUABEE a license related to the following rights:

• The right to reproduce the content on any multimedia, paper, film, optical disk format, etc., and in all forms of graphic art, authorized by all technical processes and by any mode of treatment (analog, digital, …) for terminals such as computers, mobile phones, digital tablets, etc., in all types of formats, as well as the right to store, archive, and host it on the servers used by NUABEE in all types of formats;
• The right to communicate the content to the public by any means and through all communication networks, including the Internet, terrestrial, and/or digital download, etc…;
• The right to adapt the content, in any format and framing, all illustrated with captions, text, and comments, this right being understood as the right to modify the content, for reasons including graphic, format, clarity, and/or color reasons that may be imposed by the specific technical formats mentioned above.

This license related to the content is valid for all languages, worldwide, and for the duration of copyright protection under French law and applicable international conventions. You acknowledge that you will not receive any compensation for these content publications.

You expressly guarantee that the content you will publish on the site is original and belongs to you, that it does not infringe on the intellectual property rights of a third party, nor does it harm anyone’s privacy rights.

4. Modification, Interruption, or Termination of Services

NUABEE reserves the right, without notice and at its sole discretion, to terminate or restrict partially or fully your right to access or use the Site and/or to modify or terminate any Service. You acknowledge that NUABEE may act in such a way without incurring any liability whatsoever.

5. Creation of a User Account

You can register on the Site to obtain a personal account (hereinafter referred to as the “User Account”). The User Account allows you to enjoy many benefits such as:

• Checking and modifying your account information
• Changing your password
• Subscribing to NUABEE’s newsletters

If you have forgotten your password, NUABEE can send you a new one via a secure internet connection to the email address you provided at the time of registration. You can then log in to your User Account again to change the password.

When registering, You agree and commit to:

• Providing truthful, current, comprehensive, and accurate information, as requested in the registration form or any other form you have completed on the Site;
• Maintaining and updating the information provided to NUABEE;
• Protecting the confidentiality of your username and password;
• Assuming responsibility for any activity related to the use of your username and password.

You are responsible for any loss, fees, damage, and possible additional costs resulting from the disclosure of false, incorrect, or incomplete information on your part, or from the failure to update the information provided at the time of your registration or at any other time during your use of the Site and/or Services.

6. Site Content

NUABEE commits to providing faithful descriptions and representations of the products presented on the Site. 8. Data Transfer Security

NUABEE strives to maintain standards in computer security. That being said, no data transmission over the Internet can be considered completely safe and private.

You acknowledge that any message or information you send to the Site or via the services could be read or intercepted by third parties. Sending an email to NUABEE does not create any mutual obligation or liability on the part of NUABEE towards you.

9. Links to Other Sites

The creation or maintenance of a link to the Site must be previously authorized in writing by NUABEE. However, NUABEE may, without prior notice and at its sole discretion, temporarily or permanently, at any time, revoke any such authorization without incurring liability. All personal information that NUABEE collects about you as part of your use of the Site is subject to NUABEE’s Privacy Policy.

11. Nullity

If any provision of these GTU is deemed null, invalid, or unenforceable by a competent court, for any reason whatsoever, this provision will nevertheless be applied to the fullest extent possible in a manner that reflects the intention of the parties. The other provisions of the GTU will remain in force without being altered or invalidated in any way.

12. Jurisdiction and Applicable Law

Any contract concluded with NUABEE is subject to French law, excluding the rules resulting from the law on private international law. Any dispute arising directly or indirectly from the conclusion, interpretation, or execution of a contract concluded with NUABEE will be subject exclusively to the courts of Lyon (France).
